Beyond Assets Spark - Subscription License Agreement

This License Agreement (“Agreement”) is between Noah Cabais, operating under the name Beyond Assets, which includes the subscription service Beyond Assets Spark (“Licensor,” “I,” or “me”), and the individual or entity (“Licensee,” “you”) who subscribes to access Beyond Assets Spark’s digital asset library (“Assets”).

Beyond Assets and its subscription service, Beyond Assets Spark, are hosted as part of the Fortnite.GG website.

While Beyond Assets operates within the Fortnite.GG platform, this License Agreement applies only to the Assets and services provided under Beyond Assets.

Fortnite.GG is not a party to this Agreement and is not responsible for the ownership, licensing, or distribution of Beyond Assets content.

By using Beyond Assets Spark, you agree to the terms of this Agreement.

1. Ownership
   All Assets remain the exclusive property of Beyond Assets Spark.
   You are granted a limited, non-exclusive, non-transferable license to use the Assets only under the terms of this Agreement and only while your subscription is active.
2. Permitted Uses
   While your subscription is active, you may:
   • Use Assets in personal and commercial projects. (Attribution with UEFN projects is not required.)
   • Modify Assets for your own use or for client projects.
   • Use downloaded Assets in completed projects even after your subscription ends (see Section 4).
3. Prohibited Uses
   You may not:
   • Resell, redistribute, or share any Asset with individuals who do not have an active Beyond Assets Spark subscription.
   • Post or share Assets publicly (including file-sharing platforms, free download sites, or social media).
   • Use Assets in a way that allows others to extract, download, or reuse them without an active Beyond Assets Spark subscription.
   • Claim, trademark, or copyright the Assets as your own creation.
   Assets may be used within team or organizational projects only if each contributing team member has their own valid Beyond Assets Spark subscription, unless a separate team license is explicitly provided by Beyond Assets Spark.
4. Subscription & Project Continuity
   • You may continue using Assets in any completed project that was created while your subscription was active, even after cancellation.
   • You may not use or download new Assets after your subscription ends.
   • Any reuse, modification, or new use of existing Assets after cancellation requires reactivation of your subscription.
5. Refunds
   All subscription payments are non-refundable, except in cases of duplicate billing or verified technical issues.
6. Termination
   Your license automatically terminates if your subscription is canceled or if you violate this Agreement.
   Upon termination, you must immediately stop using any unlicensed Assets and delete all stored copies.
7. Accountability
   Each download is associated with your account. Unauthorized redistribution, file sharing, or resale may result in immediate account suspension and potential legal action.
8. Limitation of Liability
   All Assets are provided “as is” without warranties of any kind. Beyond Assets, Beyond Assets Spark, and its creator are not liable for any damages, losses, or claims arising from the use or misuse of any Asset.
9. Subscription Pricing & Changes
   Beyond Assets Spark reserves the right to modify subscription pricing, features, or plan options at any time.
   If pricing changes, existing subscribers will be notified in advance, and any price adjustments will apply beginning with the next billing cycle.
   Continued use of the service after a price change constitutes acceptance of the new pricing.
10. Asset Availability
    Beyond Assets Spark may update, replace, or remove Assets from the library at any time without notice.
    While efforts are made to maintain a consistent library, specific Assets are not guaranteed to remain available for download.
    Subscribers are encouraged to download Assets they intend to use while they are available.
    If an Asset is removed for general reasons (such as quality improvements, updates, or content organization), your existing license for any previously downloaded copy will remain valid under this Agreement.
    If an Asset is removed for legal reasons (including copyright, trademark, or rights disputes), your license to use that Asset will be considered revoked, and you must immediately stop using it in all new or existing projects.
11. Relationship to Standalone Purchases
    Certain Assets available within Beyond Assets Spark may also be sold separately as standalone bundles.
    If you have previously purchased a standalone license for any Asset, that purchase grants you a perpetual license for those specific files.
    Your standalone license remains valid and is not affected by your subscription status.
12. Governing Law
    This Agreement is governed by the laws of the State of California, United States.
    Any disputes shall be resolved in the courts located in California.
